We were retained by the shareholder of a company that owns substantial residential real estate throughout the Greater Toronto Area. Our client claimed they were oppressed by the majority shareholder.
We prepared a report that quantified the value of the ownership interests held by our client. This report addressed issues including contingent disposition costs (income taxes and selling costs), and minority and marketability discounts.
We also analyzed financial records to identify personal and discretionary payments made to the majority shareholders.
This matter was resolved favourably for our client shortly before the scheduled trial in this matter.
